Terms of Service

These Terms of Service (“Terms”) govern your use of the Kai Safe product (“Service”), operated by Sant Limited, a New Zealand company (“Sant”, “we”, “us”). By signing up for or using the Service you accept these Terms.

1. The Service

Kai Safe is a food safety compliance software product comprising a mobile app, a web dashboard, and a verifier portal. It is intended for use by food businesses operating in New Zealand under the Food Act 2014.

2. Your account

You must provide accurate registration information. You are responsible for keeping your password secure and for all activity on your account. You must notify us at support@kaisafe.nz immediately if you believe your account has been compromised.

3. Your records belong to you

You own the compliance records, photos, and other content you log via the Service. We act as a steward — we store your records, make them available to you on demand, and retain them for the legally-required 4 years (Food Act 2014).

You may export your records at any time as a PDF verification pack or CSV. If you cancel your subscription, you have 30 days to export everything before access to the dashboard is restricted. We continue to store the records for the legally-required 4 years; you can request a one-off export at any time during that window for NZ$50 + GST (administrative fee).

4. Compliance disclaimer

Kai Safe is a tool to help you comply with the Food Act 2014. It is not a substitute for your own diligence, your staff's training, or the advice of a qualified consultant. Sant does not warrant that use of the Service will result in a passed verifier visit. The Service supports the operator's compliance — the operator remains ultimately responsible.

The Ora AI feature provides suggestions only. Operators must review every Ora-generated suggestion before accepting it. AI output is not legal, regulatory, or food-safety advice.

5. Subscription and payment

  • Subscriptions are billed monthly or annually in NZD via Stripe.
  • All prices are GST-inclusive in displayed amounts.
  • Annual plans receive a discount (typically ~16%).
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period; no partial refunds.
  • Annual plans cancelled mid-term are not refunded; you retain access until the end of the prepaid period.
  • Payment failures trigger a notification email and a 14-day grace period. After the grace period your account is suspended; records remain stored.

6. Trial period

New accounts receive a 30-day free trial. No credit card is required to start. At the end of the trial, you must add payment details to continue using the Service; otherwise your account enters a suspended state with read-only export access for 30 days.

7. Service availability

We target 99.5% monthly uptime for the API and web dashboard. The mobile app is designed to work fully offline, so server downtime should not block record capture — records sync when connectivity returns. We do not provide SLAs with credits at this stage; if our uptime falls below 99% in a month, contact us and we'll consider a goodwill credit.

8. Permitted use

You agree NOT to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service for any purpose that is illegal under New Zealand law.
  • Attempt to bypass authentication, rate limits, or multi-tenant isolation.
  • Use the Service to harass, defame, or impersonate another person.
  • Resell, sublicense, or white-label the Service without a written agreement with us.
  • Use the Service to generate or store content that exploits, harms, or endangers any person.

9. Intellectual property

The Kai Safe name, the bowl-and-tick logo, all software code, designs, documentation, brand assets, and related materials are the property of Sant Limited. No licence is granted by these Terms except the limited right to use the Service as described.

10. Limitation of liability

To the maximum extent permitted by law, Sant's total liability to you in any 12-month period is limited to the amount you paid us in that period. We are not liable for indirect, consequential, or special damages — including lost profits, lost data not caused by our negligence, or loss of business opportunity.

Nothing in these Terms limits any rights you have under the Consumer Guarantees Act 1993 to the extent it applies.

11. Indemnity

You indemnify Sant against any claims arising from your misuse of the Service, your breach of these Terms, or your breach of any law in your use of the Service.

12. Termination

We may suspend or terminate your account for material breach of these Terms (including non-payment, illegal use, or attempted security circumvention). We will give you 7 days' written notice except in cases of suspected fraud or security compromise.

You may cancel your account at any time from your billing page.

13. Changes to these Terms

We may update these Terms occasionally. Material changes will be emailed to all account holders 30 days in advance. Continued use after the change date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of New Zealand. Any dispute will be resolved in the New Zealand courts. Both parties will first attempt to resolve the dispute via good-faith negotiation before initiating proceedings.
